This offer is an offer of
SignLab Studio Corp. (hereinafter the
Contractor) to any interested parties (hereinafter the
Customer) to conclude a contract for the provision of services available at
www.signatureprodesign.com, for a fee on the terms set out below (the
Contract).
The Customer accepts the Contractor’s offer by paying in advance for the services for which the Contract is concluded, which constitutes acceptance and entails the conclusion of the Contract between the Customer and the Contractor.
1. Terms
1.1.
Order – an order made through the Website or via phone communication with the Contractor to receive services selected on the Website.
1.2.
Website – the Internet site at
www.signatureprodesign.com, which presents the services offered to the Customer, as well as the cost, payment methods, and the procedure for the provision of services.
2. Subject of the Contract and General Provisions
2.1. The Contractor, by order of the Customer, provides services presented on the Website for creating a calligraphic signature and providing the Customer with access to a personalized tutorial for the final version of the signature (training stencil and video tutorial) (the
Services). The Customer undertakes to accept and pay for the Services.
2.2. This Contract is concluded based on the Customer’s review of the description of Services on the Website. By paying for the Services, the Customer confirms awareness of the technical characteristics of the Services and the procedure for their provision set out on the Website. The specific sections/pages of the Website describing the Services are an integral part of this Contract.
2.3. By clicking the
“Pay” button when placing an Order on the Website or by giving consent to the Contractor’s operator when placing an Order by phone or messenger, the Customer confirms agreement with these rules.
2.4. The Customer is not entitled to transfer (assign) rights arising from the Contract without the prior consent of the Contractor.
2.5. The Customer undertakes not to use the final version of the signature beyond personal purposes unless otherwise agreed with the Contractor.
3. Registration and Terms of Services
3.1. The Order is made by the Customer on the Website or is accepted by the Contractor’s operator via the phone posted on the Website.
3.2. To place an Order, the Customer must fill out an order form on the Website with the following information: first name, last name, contact phone number; or provide this information to the Contractor’s operator in another way. The Contractor is not responsible for the accuracy of the information provided by the Customer.
3.3. After receiving the Order, the Contractor coordinates the Order data with the Customer via the specified contacts (including messengers).
3.4. The Contractor begins to provide Services after payment.
3.5. The Customer undertakes, at the Contractor’s request, to provide all information and documents necessary for the provision of Services, including completing a form submitted by the Contractor.
3.6. After collecting the information, the Contractor provides draft/template versions of the calligraphic signature for approval. The Customer may request no more than
three (3) edits.
3.7. The Contractor provides access to the personalized tutorial after full (100%) payment and approval by the Parties of the final version of the calligraphic signature by sending the materials to the Customer’s email or via messenger.
3.8. After placing an Order, the Customer’s data is entered into the Contractor’s database, which ensures confidentiality of personal data in accordance with Section 6 of this Contract.
3.9. The Services are to be rendered within
three (3) calendar months from the payment date. After this period, the Contractor may decline further performance.
3.10. Late provision or refusal to provide necessary data by the Customer, as well as non-use of tutorials/video during the period specified in clause 3.9, does
not extend the service period.
3.11. The Services are considered rendered from the moment the training materials are sent from
order@signatureprodesign.com (or another official address of the Contractor) to the Customer’s email address provided to the Contractor, or sent via messenger used for the work.
4. Price and Payment Procedure
4.1. The cost of Services is indicated on the Website on the relevant service purchase page. By paying, the Customer unconditionally agrees with the price.
4.2. Prices are set in USD. Payment is made on the terms of
100% prepayment by one of the non-cash methods to the Contractor’s account:
4.2.1. via Stripe on the Website (Visa, MasterCard);
4.2.2. by other methods specified on the Website or agreed with the Contractor.
4.3. With the Contractor’s prior consent, the Customer may pay at least
50% in advance, with the remaining balance payable no later than three (3) calendar months from the prepayment date.
4.4. When paying using methods other than 4.2.1, third-party commissions may apply and are borne by the Customer.
4.5. The Customer’s payment obligation is deemed fulfilled when the payment is recorded in the Contractor’s accounting system.
4.6. Any payment made on behalf of the Customer and/or using the Customer’s payment details/funds is considered to be made by the Customer.
5. Return & Refund Policy and Dispute Resolution
5.1.
Governing Law. For non-fulfillment or improper fulfillment of obligations, the Parties are liable under this Contract and the laws of the
State of Wyoming, USA.
5.2.
Return & Refund Policy.- Full refund if cancelled before work starts.
- Partial refund if drafts are delivered (refund minus a design fee reflecting work performed).
- No refund after final delivery of the approved signature and tutorial materials.
- Refund requests are reviewed within 1 business day and, if approved, processed within 7 business days.
5.3. If performance is impossible due to the Customer’s fault, the Services are payable in full. If impossibility arises due to circumstances for which neither Party is responsible, the Customer reimburses the Contractor for actual expenses incurred.
5.4. The Contractor may refuse to perform this Contract, subject to full compensation of the Customer’s losses as required by applicable law.
5.5. All disputes and claims arising out of or in connection with the Contract shall first be attempted to be resolved through negotiations.
5.6. Claims should be sent to
order@signatureprodesign.com or via the phone listed on the Website
(786) 590-6449. The claim review period is
30 calendar days from receipt.
5.7. If disputes cannot be settled amicably, they shall be resolved in the state or federal courts located in
Wyoming, USA, at the Contractor’s location.
5.8. The court’s recognition of the invalidity of any provision of this Contract does not entail the invalidity of the remaining provisions.
6. Confidentiality and Personal Data Protection
6.1. By submitting personal data when placing an Order, the Customer consents to its processing by the Contractor.
6.2. The Contractor may transfer the Customer’s personal data to third parties for the purposes of fulfilling obligations to the Customer (e.g., payment processing, communication tools), subject to confidentiality.
6.3. The Customer is familiar with the Contractor’s Privacy Policy posted on the Website.
7. Other Conditions
7.1. In all matters not provided for in this Contract, the Parties are governed by the laws of the
State of Wyoming, USA.
7.2. Intellectual property rights to materials on the Website, including content, information, photographs, illustrations, drawings, names, trademarks, trade names and logos, belong to the Contractor and/or its suppliers/partners and are protected by law. Any use without prior written permission is prohibited.
7.3. By agreeing to this Contract, the Customer certifies and warrants: the accuracy of information provided when placing an Order; the voluntary conclusion of this Contract, including familiarity with all terms of the offer, understanding and full and unconditional agreement with them; and consent to the processing of personal data in accordance with the Contractor’s Privacy Policy, with and without automated means.
